Please read these Terms of Service ("Terms") carefully before using the Williams Consulting website located at williamsconsulting.net (the "Site") or engaging with any services offered by Williams Consulting ("we," "us," or "our"). By accessing the Site or inquiring about our services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or engage our services.

1. About Williams Consulting

2. Acceptance of Terms

By visiting williamsconsulting.net, submitting a contact form, scheduling a consultation, or engaging any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

These Terms apply to all visitors, prospects, and clients, whether interacting through the Site, by telephone, by email, or through any other channel connected to Williams Consulting.

3. Services Offered

Williams Consulting offers the following professional services:

a. Business Consulting (Retainer)

Strategic operational consulting services delivered on a monthly retainer basis. Scope, deliverables, and retainer terms will be defined through a separate engagement agreement prior to commencement of services. Retainer pricing ranges from $2,500 to $4,500 per month depending on scope.

b. Leadership Coaching

Individual and organizational leadership coaching delivered in structured packages. Coaching engagements are designed to develop leadership capability, accountability, and operational clarity. Package pricing ranges from $2,500 to $5,000 total depending on duration and scope.

c. Professional Mentoring

One-on-one professional mentoring sessions for individuals seeking career guidance, operational insight, or professional development. Sessions are available on a per-session basis ($100 to $150 per session) or through a monthly package ($300 to $500 per month).

d. Virtual Assistant Setup and Automation (Virginia)

Setup fees begin at $1,497 with ongoing monthly service support starting at $500 per month. Specific deliverables, timelines, and technical requirements will be outlined in a separate service agreement.

Williams Consulting reserves the right to modify, expand, or discontinue any service offering at any time. Service descriptions on the Site are for informational purposes and do not constitute a binding offer until a formal engagement is agreed upon by both parties.

4. Engagement Process and Client Agreements

These Terms govern your use of the Site and initial interactions with Williams Consulting. They do not replace a formal client agreement. Prior to beginning any paid engagement, clients may be required to execute a separate Statement of Work, Service Agreement, or Client Contract that outlines:

       Specific scope of services

Fees, payment schedule, and payment terms

       Project timelines and deliverables

       Confidentiality and non-disclosure obligations

       Termination conditions

In the event of a conflict between these Terms and a separately executed client agreement, the client agreement shall control with respect to the specific engagement.

5. Fees, Payments, and Billing

All fees for Williams Consulting services are agreed upon prior to engagement. The following general terms apply unless otherwise specified in a client agreement:

Fees are due as outlined in the applicable service agreement or invoice.

Retainer fees are billed in advance on a monthly basis.

Payments are processed through third-party payment processors. Williams Consulting does not store payment card information.

Invoices not paid within the agreed payment window may be subject to a late fee or suspension of services.

All fees are in U.S. dollars.

Williams Consulting reserves the right to adjust pricing for future engagements with reasonable advance notice.

6. Refund and Cancellation Policy

Because Williams Consulting delivers professional services that are personalized to each client, the following general policy applies:

Retainer services may be cancelled with written notice as specified in the applicable client agreement. Fees paid for a current billing period are generally non-refundable once services have commenced for that period.

Coaching and mentoring sessions cancelled with less than 24 hours notice may be forfeited without refund.

Virtual assistant setup fees are non-refundable once design and configuration work has begun.

Williams Consulting is committed to client satisfaction and will work in good faith to address concerns. Specific refund terms may be negotiated and documented in individual client agreements. This policy is subject to change and may be updated without prior notice.

7. No Guarantee of Results

Williams Consulting provides professional consulting, coaching, mentoring, and automation services based on industry experience and best practices. However, we make no guarantees, representations, or warranties regarding specific business outcomes, revenue results, performance improvements, or other measurable results.

All strategies, recommendations, and services are provided based on the information available at the time of engagement. Results depend on a variety of factors outside Williams Consulting's control, including client implementation, market conditions, organizational culture, and individual effort.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your engagement with Williams Consulting shall first be subject to good-faith negotiation. If a resolution cannot be reached informally, disputes shall be resolved through binding arbitration in Kansas City, Missouri, under the rules of the American Arbitration Association, unless both parties agree otherwise in writing.

Nothing in this section prevents either party from seeking emergency injunctive relief from a court of competent jurisdiction where necessary to prevent irreparable harm.

15. Modifications to These Terms

Williams Consulting reserves the right to update or modify these Terms at any time. When changes are made, we will update the "Last Updated" date at the top of this page. Your continued use of the Site or engagement with our services after any modifications constitutes your acceptance of the revised Terms.

We encourage you to review these Terms periodically. For active client engagements, material changes to the Terms will be communicated directly where feasible.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions of these Terms shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any separately executed client agreement, constitute the entire agreement between you and Williams Consulting with respect to your use of the Site and engagement of our services.
